The only logical explanation that I can see is that SISU/Ken have decided that GH won't make an offer that they will consider to be acceptable. Consequently they want to put an end to speculation and if possible throw a little mud in GH's direction to minimise any backlash against them

Why does it have no legal basis? I've been involved in the sale and purchase of many companies and I can't remember a single occasion where "the bid" was made in a formal way until a price had been agreed in principle.
