Okay so from what you've posted, the Charity are prepared to sell to SISU and if they do so the council will veto the sale. So the council have therefore not vetoed the sale of the charity share yet, which is what TF supposedly said they had on the teleconference. (edited version of post)...

You are missing out what the market rate for ACL is, this may and probably is more than the assets on the balance sheet*. *although as I have already said not amazing on balance sheets.
