Hoffman Surprised That FL Have Not Acted On Golden Share Documents

FL & Administrator Should Have Acted - Hoffman
Coventry City supporter and former Board member Gary Hoffman has admitted to being surprised that the Football League and the Administrator Paul Appleton have not acted upon the information which shows that the golden share was with CCFC Ltd and that they were in fact an operating company with a say in the running of the football club, contrary to what Tim Fisher later said when the company was placed in administration by SISU back in March.

Speaking to the Coventry Telegraph, Gary Hoffman said: “One of the things the board at the time wanted to clarify was what each company was responsible for.

“It was clear CCFC Ltd not only had the golden share but would have responsibility for all football related matters, and we see that in documents including in relationship with the Football League.

“Nothing changed in fact, or that being the intent, until I left the board in December 2010. I don’t know what’s happened since.
“From what they’re saying, the two companies at least latterly operated as one, and therefore it doesn’t matter if the golden share was with Limited or Holdings.
“If that’s true, then it’s difficult for one company to avoid liabilities on another, and I’m surprised the Football League and administrator haven’t said that.”

Not just the FL & FA - what was the administrator playing at?

If Holdings really has 'beneficial ownership' over CCFC Ltd assets, how can they prove it?

And if CCFC Ltd was trading in effect without assets or income, and just building up liabilities - then the directors (and the shadow directors) haven't followed their legal responsibilities. If that's found, then they could be held personally liable for some or all of the debts. This should have all been cleared up before PA tried to sell CCFC Ltd, imho.

This, to my mind, is why ACL didn't sign the CVA.

It should be quite simple to do an audit check of documents to see how legal the transfers were.
However, why would anyone change it as it is a common sense structure?

The golden share, players and registrations logically are together.
To move the golden share would need involvement from the FL so that stayed where it was.
To move the rest is an internal matter so can be done in house.

The question is why?
If it was me I would consider transferring the players and their registrations into the part of the club without the Arena contract.
However I would not do it as it is against FL rules and if no money goes the other way it would be illegal.

i've forwarded a link to the story to the FL, bet i still dont get a reply. they really aint interested, all they are interested in is completing fixtures so they can sell the TV rights.

they new already, i'm sure of that. but we need to not let them of the hook. the more presure we can put on any body coneceted to the sport and has influence and/or responsability to football should know how the collective feel. its alot easier to ignore if no one puts pressure on them.

Not irrelevant-Ranson put forward the idea of shutting the academy purely as a cost saving measure and Elliott agreed to it with the proviso that the PR aspect would have to be 'managed carefully'. Do I want this man anywhere near a future management team?

I thought it was safety issue and then closing it would be a cost saving.

Exactly, and "managing PR aspects" something he is still responsible for from the looks of things.

Would have thought that he'd have put up a bit more fight for the Academy, if as many people say, he saved it with a million of his own money?

How does the beneficial ownership argument work ?

Leaving aside that the beneficial aspect was one sided - ie that if you have beneficial assets you also have beneficial liabilities

CCFC H claims beneficial ownership but the FL award the share to Otium and TF & SISU are happy with that. So much for beneficial ownership by CCFC H then :thinking about:Kind of negates the argument put forward at the forums doesnt it? It might be same group but it is a different entity

Is there not also an issue that while SISU could move player contracts between companies as an asset if they moved them away from the golden share they would not be in compliance with 3rd party ownership? And don't you have to register players with the league, would this not mean you can't move them elsewhere without the league giving the thumbs up?

What I was suggesting is that we should concentrate our efforts on the club's current predicament and the issues surrounding SISU and their mis-management of the club over the past few years.

If player safety were ever a concern then measures taken to secure it should have been the port of call. That the idea of closing it was even proposed, let alone supported by Elliott, is a disgrace.

Their mismanagement is well known to all of us. Elliot's role is much less so.

If this is the case why have ACL not tried to sue Holdings for the rent ?

So why would you do it if that's the case.
Did ACL know this had changed when they went for administration and logically thinking the club sale would be straight forward?
Would ACL administrator have found this information so SISU needed to put someone in who would work around it?

Elliot resigned at the start of the meeting.
Higgs is available to the public I walk past it twice a week to play on the pitches. Always used to bump into City staff and players but they didn't realise it was me

We have been told that the golden share has been awarded to Otium Entertainment Group Ltd. We were also told that the player contracts are in CCFC H Ltd.

Are we not being told something because that is no different to share in CCFC Ltd and players in CCFC H Ltd ...... its the same set up but different names
